These Terms of Service ("Terms") govern your access to and use of the website and services provided by Codefarming IT Services ("Company", "we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By using our website or engaging our services, you confirm that you are at least 18 years old and have the legal capacity to enter into binding agreements. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Codefarming IT Services provides professional IT services including but not limited to:

  • Custom software development (web, mobile, enterprise)
  • AI and machine learning integrations
  • Cloud infrastructure setup and DevOps
  • UI/UX design and digital strategy consulting
  • Code generation and scaffolding tools

Specific deliverables, timelines, and terms are defined in individual project agreements or statements of work (SOW).

3. User Obligations

You agree not to:

  • Use our website or services for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to our systems, servers, or networks.
  • Upload or transmit malicious code, viruses, or harmful data.
  • Reproduce, duplicate, copy, sell, or exploit any portion of our services without express written permission.
  • Harass, abuse, or harm other users or our staff.

4. Intellectual Property

All content on this website — including text, graphics, logos, icons, images, and software — is the exclusive property of Codefarming IT Services or its licensors and is protected by applicable intellectual property laws.

For client projects, intellectual property ownership is governed by the signed project agreement. In the absence of a written agreement, all deliverables remain the property of Codefarming IT Services until full payment is received.

5. Payment Terms

  • All fees are specified in the project proposal or SOW.
  • Invoices are due within 30 days of issuance unless otherwise agreed.
  • Late payments may incur a monthly interest charge of 1.5% or the maximum permitted by law.
  • All prices are exclusive of applicable taxes (GST, VAT, sales tax) unless stated otherwise.

6. European Union Consumer Rights

If you are located in the European Union, the following provisions apply in accordance with EU consumer protection law:

  • Right of Withdrawal (14 days): For digital services not yet commenced, EU consumers have a 14-day cooling-off period. This right is waived if you expressly consent to the service beginning before the period ends.
  • Conformity Guarantee: Services must conform to what was agreed. You may be entitled to remedies if services are not delivered as specified.
  • Alternative Dispute Resolution (ADR): EU consumers may refer unresolved disputes to an ADR entity. The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.
  • Governing DSA: We comply with the EU Digital Services Act (DSA) obligations applicable to our scale of service.

7. United States — State-Specific Terms

For users in the United States, the following apply:

  • California (CCPA/CPRA): California residents have privacy rights described in our Privacy Policy.
  • Arbitration (US users): Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), rather than in court, except for claims eligible for small claims court.
  • Class Action Waiver: You waive any right to participate in class action lawsuits or class-wide arbitration against Codefarming IT Services.
  • Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

8. Disclaimers

Our website and services are provided on an "as is" and "as available" basis. We expressly disclaim all warranties, express or implied, including but not limited to:

  • Merchantability or fitness for a particular purpose.
  • Uninterrupted, error-free, or secure access to our services.
  • Accuracy or completeness of any content on this website.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Codefarming IT Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount paid by you for the services giving rise to the claim in the preceding 3 months.

Note: Some jurisdictions (including EU member states) do not allow the exclusion of certain implied warranties or limitation of liability for consequential damages. In such cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Codefarming IT Services and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising from your use of our services or violation of these Terms.

11. Third-Party Links

Our website may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

12. Termination

We reserve the right to suspend or terminate your access to our website and services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or the interests of Codefarming IT Services.
